This Site is operated by PuppyList, LLC (“PuppyList”) (“Company,” “we,” “us,” “our”).

We manage the website https://puppylist.com (the “Site”), along with any other associated products and services referring or linking to these legal terms (the “Legal Terms”) (collectively, the “Services”).

These Legal Terms establish a legally binding agreement between you, whether individually or on behalf of an entity (“you,” “your”), and PuppyList LLC, regarding your use of and access to the Services. By accessing the Services, you affirm that you have read, comprehended, and consented to abide by all of these Legal Terms. IF YOU DO NOT AGREE TO ALL OF THESE LEGAL TERMS, YOU ARE SPECIFICALLY PROHIBITED FROM USING THE SERVICES, AND YOU MUST CEASE USAGE IMMEDIATELY.

ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION CLAUSE BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND PUPPYLIST.COM WILL BE SETTLED THROUGH MANDATORY BINDING ARBITRATION, AND YOU RENOUNCE ANY RIGHT TO ENGAGE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Additional terms and conditions or documents that may be published on the Services periodically are explicitly integrated herein by reference. We retain the right, at our sole discretion, to amend or adjust these Legal Terms at any time and for any reason. It is your responsibility to review these Legal Terms periodically to remain informed about updates, and you waive any entitlement to receive specific notice of each alteration.  By continuing to use the Services after the date of posting of such revised Legal Terms, you will be bound by, and deemed to have acknowledged and accepted, the alterations therein.

The Services are designed for users who are at least 18 years old. Individuals under the age of 18 are not authorized to utilize or register for the Services.

1. OUR SERVICES

The information provided while using the Services is not intended for distribution to or utilization by any individual or entity in any jurisdiction or country where such distribution or utilization would contradict law or regulation or would result in our obligation to fulfill any registration requirement within that jurisdiction or country. Consequently, individuals who opt to access the Services from other locations do so at their own initiative and bear sole responsibility for adhering to local laws, where applicable.

PuppyList grants you authorization to access and view a single copy of the content available on or from the Site solely for your personal use. The materials on the Site, such as text, graphics, images, logos, button icons, software, and other content (collectively referred to as “PuppyList Content”), are protected under both United States and foreign copyright, trademark, and other laws. All PuppyList Content is the sole property of PuppyList or its content suppliers or clients. The compilation (including the collection, arrangement, and assembly) of all content on the PuppyList Site is the exclusive property of PuppyList and is protected by U.S. and international copyright laws. Unauthorized utilization of the PuppyList Content may contravene copyright, trademark, and other laws. You are required to retain all copyright, trademark, service mark, and other proprietary notices contained in the original PuppyList Content on any copy you make of the PuppyList Content. You are prohibited from selling or modifying the PuppyList Content or reproducing, displaying, publicly performing, distributing, or otherwise using the PuppyList Content in any way for any public or commercial purpose. The use of the PuppyList Content on any other website or in a networked computer environment for any purpose is prohibited. You shall not copy or adapt the HTML code that PuppyList creates to generate any PuppyList Content or the pages comprising any PuppyList Site, which is also protected by such copyright.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property:

We hold ownership or licensing rights to all intellectual property associated with our Services, encompassing source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics within the Services (collectively referred to as the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”).

Copyright and trademark laws (as well as various other intellectual property rights and unfair competition laws) and treaties in the United States and globally protect our Content and Marks.

The Content and Marks are provided within or through the Services “AS IS” for your personal, non-commercial use or internal business purposes only.

Your use of our Services:

Subject to your adherence to these Legal Terms, including the “PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable license to access the Services.

Except as specified in this section or elsewhere in our Legal Terms, no part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written consent.

If we grant you permission to post, reproduce, or publicly display any portion of our Services or Content, you must acknowledge us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice is included or visible upon posting, reproducing, or displaying our Content.

We retain all rights not expressly granted to you in and to the Services, Content, and Marks.

Any infringement of these Intellectual Property Rights will constitute a material breach of our Legal Terms, and your right to use our Services will terminate immediately.

Your submissions and contributions:

Prior to utilizing our Services, carefully review this section and the “PROHIBITED ACTIVITIES” section to understand (a) the rights you grant us and (b) the obligations you bear when posting or uploading any content through the Services.

Submissions: By directly providing us with any question, comment, suggestion, idea, feedback, or other information regarding the Services (“Submissions”), you agree to assign to us all intellectual property rights in such Submission. You acknowledge that we shall own this Submission and have the unrestricted right to use and disseminate it for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Contributions: The Services may prompt you to engage in chats, contribute to blogs, message boards, online forums, and other functionalities through which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material (“Contributions”). Any publicly posted Submission shall also be treated as a Contribution.

You acknowledge that Contributions may be visible to other users of the Services and potentially through third-party websites.

By posting any Contributions (including use of your name, trademarks, and logos), you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to: use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and exploit your Contributions (including, without limitation, your image, name, and voice) for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, your Contributions, and to sublicense the licenses granted in this section. Our use and distribution may occur in any media formats and through any media channels.

This license encompasses our use of your name, company name, and franchise name, as applicable, and any trademarks, service marks, trade names, logos, and personal and commercial images you provide.

You are responsible for your posts or uploads: By sending us Submissions and/or posting Contributions through any part of the Services or making Contributions accessible through the Services by linking your account to any of your social networking accounts, you:

confirm that you have read and agree with our “PROHIBITED ACTIVITIES” and will not post, send, publish, upload, or transmit through the Services any Submission nor post any Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading; to the extent permissible by applicable law, waive any and all moral rights to any such Submission and/or Contribution; warrant that any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions and/or Contributions; and warrant and represent that your Submissions and/or Contributions do not constitute confidential information. You bear sole responsibility for your Submissions and/or Contributions, and you expressly agree to indemnify us for any and all losses we may suffer due to your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

You affirm and guarantee to PuppyList that the information you furnish to PuppyList, including data posted in any profile you establish on any Site, along with any photographs, is provided by you, and you hold exclusive authorship of your profile and sole ownership of your photographs and videos. You transfer to PuppyList, with complete title guarantee, all copyright and other rights to your profile, your posted photographs or videos on a Site, submitted to PuppyList, or taken by a PuppyList representative with your knowledge and consent, your comments on any Site or submitted to PuppyList, and any additional information posted on the Site or submitted to PuppyList at any time concerning your use of the Site or any services provided through it. You unequivocally waive any and all moral rights to be acknowledged as the author of any such content and any similar rights in any jurisdiction worldwide. Moreover, other users of the Site may post copyrighted information, which holds copyright protection, regardless of whether it is identified as copyrighted. Except for information in the public domain or for which you have received express written permission, you shall not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. By providing to PuppyList, including posting information, photographs, or content on any Site and/or providing the same to PuppyList, you automatically grant, and you attest that you have the right to grant, to PuppyList and other members of the Site, without any additional compensation, an irrevocable, perpetual, non-exclusive, royalty-free, fully-paid up, worldwide license to use, copy, perform, display, promote, publish, and distribute such information, content, videos, and photographs and to create derivative works thereof, or incorporate such information and content into other works and to grant and authorize sub-licenses of the foregoing.

We may remove or edit your Content: While we are not obligated to monitor any Contributions, we reserve the right to remove or edit any Contributions at any time without notice if, in our reasonable opinion, we deem such Contributions harmful or in violation of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

Copyright infringement:

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please promptly refer to the “COPYRIGHT INFRINGEMENTS” section below.

3. USER REPRESENTATIONS

By utilizing the Services, you affirm and guarantee that: (1) all information you provide during registration will be truthful, accurate, up-to-date, and complete; (2) you will ensure the accuracy of such information and promptly update it as necessary; (3) you possess the legal capacity and agree to abide by these Legal Terms; (4) you are not a minor in your residing jurisdiction; (5) you will not access the Services through automated or non-human methods, such as bots or scripts; (6) you will not employ the Services for any unlawful or unauthorized purpose; and (7) your utilization of the Services will not breach any applicable laws or regulations.

If you furnish any information that is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your account and decline any current or future usage of the Services (or any portion thereof).

4. SITE RESTRICTIONS

You are not permitted to utilize any Site for the transmission, distribution, storage, or deletion of material, including PuppyList Content, under the following circumstances: (a) contravening any applicable law or regulation; (b) infringing upon the intellectual property rights, including copyright, trademark, or trade secret, of others, or violating their privacy, publicity, or other personal rights; or (c) engaging in activities that are defamatory, obscene, threatening, abusive, or hateful. Furthermore, you are prohibited from breaching or attempting to breach the security of any Site, which includes, but is not limited to, engaging in the following actions: (a) accessing data not intended for your use or logging into a server or account without proper authorization; (b) attempting to probe, scan, or test system vulnerabilities or breach security measures without authorization; (c) attempting to disrupt service to users, hosts, or networks through actions such as submitting viruses, overloading, flooding, spamming, mailbombing, or crashing; or (d) forging TCP/IP packet headers or any part of header information in email or newsgroup postings. Violations of system or network security may lead to civil or criminal repercussions. PuppyList will conduct investigations into such violations and may collaborate with law enforcement authorities in prosecuting individuals involved in such violations.

5. PROHIBITED USES

The features provided by PuppyList are intended solely for lawful purposes, to be used by individuals seeking pets and breeders looking to sell and promote pets. You explicitly agree NOT to engage in any of the following activities: (a) posting content on any Site on behalf of or for any competitor of PuppyList, or posting content containing links to sites that compete with PuppyList; (b) posting content on any Site containing hyperlinks, hidden keywords, or irrelevant or misleading keywords; (c) posting dogs for modeling or talent scouting positions; (d) submitting incomplete, false, inaccurate, or incorrect information to any Site; (e) sending unsolicited mail, email, phone calls, or faxes promoting products or services to users of any Site; (f) deleting or altering material posted by any other person or entity; (g) taking actions that unreasonably burden or overload any Site’s infrastructure; (h) using or attempting to use any engine, software, tool, or mechanism (including browsers, spiders, robots, or intelligent agents) to navigate or search any Site, except for the search function provided by PuppyList or generally available third-party web browsers; (i) attempting to decipher, decompile, disassemble, or reverse engineer any software comprising any Site; (j) aggregating, copying, or duplicating any PuppyList Content or information from any Site; or (k) framing or linking to any PuppyList Content or information from any Site.

4. USER REGISTRATION

Registration may be necessary to utilize the Services. You agree to maintain the confidentiality of your password and bear responsibility for all activities conducted with your account and password. We retain the right to delete, reclaim, or modify any username you choose if we determine, at our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

If you register with or provide information to any Site, or submit information to PuppyList, you may need to furnish certain details, including but not limited to your name, physical address, mobile phone number, and a valid email address (referred to as “your Information”). Alongside the Terms of Use and our Privacy Policy or any relevant privacy policy for a particular Site, you acknowledge and consent to PuppyList potentially disclosing your Information to third parties, as contained in your registration application and submitted information. PuppyList retains the right to present third-party services and products to you based on the preferences you indicate in your registration and subsequently; these offers may originate from PuppyList or third parties. Refer to PuppyList’s Privacy Policy for more insights regarding your Information. While PuppyList disclaims any warranty set forth in these Terms of Use, it does not guarantee the quality or nature of any third-party products or services purchased through the Site or any other PuppyList website or mobile application. Any such assurance would be provided solely by the provider or seller of the product or service, according to their terms.

5. PURCHASES AND PAYMENT

We accept the following payment methods:

You commit to supplying current, complete, and accurate purchase and account details for all transactions conducted via the Services. Additionally, you agree to promptly update account and payment details, including email address, payment method, and payment card expiration date, to facilitate transaction completion and enable us to contact you as necessary. Sales tax may be applied to the purchase price as required by us. Prices are subject to change at any time. All payments shall be made in US dollars.

You pledge to settle all charges at the prevailing prices for your purchases, along with any applicable shipping fees, and authorize us to debit your selected payment provider for such amounts upon placing your order. We reserve the right to rectify any pricing errors or inaccuracies, even following payment request or receipt.

We reserve the right to decline any orders made through the Services. At our discretion, we may restrict or cancel quantities purchased per individual, household, or order. Such limitations may pertain to orders placed under the same customer account, payment method, and/or those using identical billing or shipping information. We also reserve the right to restrict or prohibit orders that, in our sole judgment, appear to originate from dealers, resellers, or distributors.

6. SUBSCRIPTIONS

Billing and Renewal:

If you subscribe to a monthly plan, your subscription will automatically renew unless canceled. By signing up, you authorize us to charge your payment method on a recurring basis without requiring individual approval for each charge until you cancel. The billing cycle duration is monthly.

Cancellation:

You can cancel your paid account anytime by logging into your account. Your cancellation will take effect at the end of the current paid term. For any inquiries or dissatisfaction with our Services, please contact us at admin@puppylist.com.

Fee Changes:

We reserve the right to modify subscription fees occasionally and will notify you of any price adjustments in accordance with applicable regulations.

7. POLICY

All sales are considered final, and refunds will not be issued.

8. PROHIBITED ACTIVITIES

You agree to use the Services solely for their intended purpose as made available by us. Commercial endeavors not specifically endorsed or approved by us are prohibited.

As a user, you must not:

• Systematically extract data or content from the Services without our written consent.
• Attempt to deceive or obtain sensitive account information fraudulently.
• Circumvent or disrupt security features or interfere with the Services’ operation.
• Disparage or harm us or the Services in any manner.
• Misuse support services or submit false reports.
• Violate applicable laws or regulations.
• Engage in unauthorized framing or linking to the Services.
• Transmit malicious software or interfere with others’ use of the Services.
• Attempt to impersonate others or misuse user identities.
• Interfere with or disrupt the Services’ functionality or networks.
• Harass or threaten our employees or agents.
• Attempt to bypass security measures or copy the Services’ software.
• Decipher, decompile, or reverse engineer the Services’ software.
• Use automated systems to access the Services without authorization.
• Employ buying or purchasing agents for Services transactions.
• Engage in unsolicited email practices or create false user accounts.
• Utilize the Services for competitive purposes or revenue generation.
• Sell or transfer your profile.
• Violate PuppyList.com Community Standards.

   USER GENERATED CONTRIBUTIONS

The Services may invite you to engage in chats, contribute to blogs, message boards, online forums, and other features, allowing you to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services (collectively referred to as “Contributions”). These Contributions may be visible to other users of the Services and via third-party websites. Thus, any Contributions you transmit may be considered non-confidential and non-proprietary. When you create or provide any Contributions, you thereby affirm and guarantee that:

• Your Contributions do not and will not violate the proprietary rights, including but not limited to copyright, patent, trademark, trade secret, or moral rights, of any third party.
• You are the creator and owner of, or possess the necessary licenses, rights, consents, releases, and permissions to use and authorize us, the Services, and other users of the Services to use your Contributions in any manner contemplated by the Services and these Legal Terms.
• You have obtained written consent, release, and/or permission from each identifiable individual person in your Contributions to use their name or likeness for inclusion and use of your Contributions as contemplated by the Services and these Legal Terms.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
• Your Contributions are not obscene, lewd, lascivious, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
• Your Contributions are not intended to harass, threaten, or promote violence against any person or group.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not infringe upon the privacy or publicity rights of any third party.
• Your Contributions do not violate any laws regarding child pornography or the protection of minors’ health or well-being.
• Your Contributions do not contain offensive comments related to race, national origin, gender, sexual preference, or physical handicap.
• Your Contributions do not violate, or link to material that violates, any provision of these Legal Terms or any applicable law or regulation.

Any use of the Services in contravention of the above constitutes a violation of these Legal Terms and may result in termination or suspension of your rights to use the Services.

10. CONTRIBUTION LICENSE

By posting your Contributions to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels.

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Services; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

THIRD-PARTY WEBSITES AND CONTENT The Services may contain (or you may be sent via the Site or App) links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
13. ADVERTISERS We allow advertisers to display their advertisements and other information in certain areas of the Services, such as sidebar advertisements or banner advertisements. We simply provide the space to place such advertisements, and we have no other relationship with advertisers.

SERVICES MANAGEMENT We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
15. PRIVACY POLICY

By using the Services, you agree to our Privacy Policy, which is part of these Legal Terms. Note that the Services are hosted in the United States. If you access the Services from regions with different data privacy laws, by using the Services, you consent to the transfer and processing of your data in the United States.

17. COPYRIGHT INFRINGEMENTS

We respect intellectual property rights. If you believe material on or through the Services infringes your copyright, please notify us immediately using the contact information provided. Your Notification will be sent to the person responsible for the material. Making false claims may result in liability for damages. If unsure, consider consulting an attorney before submitting a Notification.

18. TERM AND TERMINATION

These Legal Terms apply while you use the Services. We reserve the right, without notice or liability, to deny access to the Services or terminate your use for any reason, including breach of these terms or applicable laws. We may terminate your account and delete posted content at any time, without warning. If your account is terminated, you cannot register again. We reserve the right to take appropriate legal action if necessary.

19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at our sole discretion without notice. We may also modify or discontinue all or part of the Services without notice. We won’t be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee uninterrupted availability of the Services. Technical issues or maintenance may cause interruptions, delays, or errors. We may change, suspend, discontinue, or modify the Services without notice. You agree we’re not liable for any loss, damage, or inconvenience due to inability to access or use the Services. These Legal Terms don’t obligate us to maintain, support, or provide updates for the Services.

20. GOVERNING LAW

These Legal Terms and your use of the Services are governed by the laws of the State of Arizona. They apply to agreements made and performed entirely within Arizona, without regard to conflict of law principles.

21. DISPUTE RESOLUTION

All claims and disputes (whether contract, tort, or otherwise) between you and PuppyList LLC, including its parent companies, affiliates, and subsidiaries (“PuppyList Parties”) that cannot be resolved in small claims court will be resolved by binding arbitration. This includes disputes arising from these Legal Terms or the use of the Services.

You and the PuppyList Parties waive the right to go to court and have a trial in front of a judge or jury. Instead, all claims and disputes shall be resolved by arbitration. Arbitration is typically more limited, efficient, and less costly than court proceedings.

Arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where applicable, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”). The arbitration may be conducted in person, through document submission, by phone, or online.

Both parties may litigate in court to enforce arbitration or seek injunctive relief. However, no party may disclose arbitration details without the other’s consent, except as required by law.

If a dispute proceeds in court rather than arbitration, it must be brought in Wisconsin. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Legal Terms.

Restrictions

Arbitration will be limited to individual disputes; class actions or representative actions are not permitted. No disputes can be arbitrated on a class-action basis.

Exception to Arbitration

Disputes involving equitable relief for alleged unlawful use of intellectual property are not subject to arbitration. If any part of this arbitration agreement is found illegal or unenforceable, the dispute will be resolved by a court.

    CORRECTIONS

The Site and the PuppyList Content might contain errors, inaccuracies, omissions, or typographical errors. PuppyList does not guarantee the accuracy, reliability, completeness, or timeliness of any Site or the PuppyList Content. Changes to the Site and the services offered therein are made periodically and can occur at any time.

The Services are provided on an as-is and as-available basis. Your use of the Services is at your own risk. We disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the accuracy or completeness of the content on the Services or any linked websites or mobile applications. We will not be liable for any errors, inaccuracies, or mistakes in the content and materials, or for any personal injury, property damage, loss of data, or other damages resulting from your use of the Services.

We do not endorse or assume responsibility for any products or services advertised or offered by third parties through the Services. We will not be responsible for monitoring any transactions between you and third-party providers.

PuppyList does not guarantee that any Site will operate error-free or that any Site and its servers are free of computer viruses or other harmful mechanisms. If your use of any Site or the PuppyList Content results in the need for servicing or replacing equipment or data, PuppyList is not responsible for those costs. The Sites and PuppyList Content are provided on an “as is” basis without any warranties of any kind. PuppyList, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including but not limited to the warranty of merchantability, fitness for a particular purpose, and non-infringement. PuppyList makes no warranties about the accuracy, reliability, completeness, or timeliness of the PuppyList Content, services, software, text, graphics, and links.

In no event shall PuppyList, its suppliers, or any third parties mentioned on any Site be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use any PuppyList Site, the PuppyList Content, or any purchase made on any PuppyList Site, whether based on warranty, contract, tort, or any other legal theory, and whether or not PuppyList is advised of the possibility of such damages.

24. LIMITATIONS OF LIABILITY

If you have a dispute with one or more other Site users, you release PuppyList (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from any claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.

To the fullest extent permitted by law, in no event shall PuppyList, including its officers, directors, employees, representatives, successors, assigns, or affiliates (collectively, the “Covered Parties”), be liable for any injury, death, loss, claim, damage, act of God, accident, delay, or any special, exemplary, punitive, incidental, or consequential damages of any kind, whether based in contract, tort, or otherwise, which arise out of or are in any way connected with any use of this site or with any delay or inability to use a site, or for any information, software, products, or services obtained through this site, even if a party has been advised of the possibility of such damages. In no event will we or our affiliates, directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services. Some jurisdictions do not allow the exclusion of liability for incidental or consequential damages, so some of the above exclusions may not apply to certain users. In no event shall the Covered Parties’ total liability to you for all damages, losses, and causes of action (whether in contract or tort, including but not limited to negligence) arising from this agreement or your use of the site exceed the amount paid by you to PuppyList in the transaction in question or if no transaction is at issue, in the preceding 6 months.

Our liability to you for any cause whatsoever will be limited to the amount paid by you to us during the six-month period prior to the cause of action arising. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

    INDEMNIFICATION

You agree to defend, indemnify, and hold harmless us, including our parents, subsidiaries, affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, arising out of:

1. Your Contributions.
2. Your use of the Services.
3. Breach of these Legal Terms.
4. Any breach of your representations and warranties in these Legal Terms.
5. Your violation of the rights of a third party, including intellectual property rights.
6. Any harmful act toward another user of the Services.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. We will make reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

26. USER DATA

While we maintain certain data you transmit to the Services for managing performance, you are responsible for all data you transmit or that relates to your use of the Services. We have no liability for any loss or corruption of such data, and you waive any right of action against us for such loss or corruption.

27. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Your use of the Services, sending us emails, or completing online forms constitutes electronic communications. You consent to receive electronic communications from us, and you agree that electronic signatures, contracts, orders, and other records satisfy legal requirements. You waive any rights requiring non-electronic records.

28. CALIFORNIA USERS AND RESIDENTS

For any unresolved complaint, California residents can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

29. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any provision does not waive our right to enforce it later. These terms operate to the fullest extent permissible by law. We may assign our rights and obligations. We are not liable for any delay or failure beyond our control. If any provision is deemed unlawful or unenforceable, it will not affect the validity of the remaining provisions. These terms do not create any third-party beneficiary rights. You waive any defenses based on the electronic form of these terms.
